Nu World Custom Lighting and Design

1. Application of Terms

These Terms and Conditions (“Terms”) apply to all quotations, orders, invoices, and sales of goods provided by Nu World Custom Lighting and Design (“the Company”) to the purchaser (“the Buyer”).

By accepting a quotation, placing an order, or making payment to the Company, the Buyer confirms that they have read, understood, and accepted these Terms in full. These Terms supersede any prior agreements unless expressly agreed to in writing by the Company.

2. Orders, Specifications, and Approvals

2.1 Order Confirmation

An order confirmation is required before production or procurement may begin.

2.2 Buyer Responsibility

The Buyer is responsible for providing complete and accurate specifications, dimensions, drawings, CAD files, templates, and all other information required to fabricate the goods. Any delays in providing required information may impact production and delivery timelines.

2.3 Custom Fabrication

All LED light panels are custom fabricated to order. Nu World is not responsible for incorrect sizing, fitment issues, or installation challenges resulting from unverified or inaccurate information supplied by the Buyer or their contractors.

2.4 CAD Files and Templates

Panels requiring cutouts, voids, or custom shapes must be supported by an approved CAD file. If a CAD file is not available, a physical hard-template may be submitted for conversion. CAD conversion fees start at USD/CAD $150 and may increase depending on complexity.

2.5 Final Approval

Final approval of drawings or CAD files constitutes acceptance of all dimensions and specifications and authorizes the Company to proceed with production.

3. Pricing, Deposits, and Payment Terms

3.1 Pricing Structure

All prices are quoted in the applicable currency and may be presented as fully landed pricing, inclusive of manufacturing, packaging, crating, freight, customs handling, duties, and logistics where applicable.

3.2 International Orders (Outside Canada)

  • Orders under USD $7,000 require full prepayment prior to production.
  • Orders USD $7,000 and above require a 50% deposit to initiate production, with the balance due prior to shipment.

3.3 Canadian Orders

A 50% deposit is required to begin production, with the remaining balance due prior to shipment.

3.4 Accepted Payment Methods

  • United States: wire transfer, credit card
  • Canada: Interac e-Transfer, wire transfer, credit card

Credit card processing fees may apply.

3.5 Late Payments

Payment timing is of the essence. Late payments may incur interest at 4% above the prime rate of the Canadian Imperial Bank of Commerce, calculated daily.

4. Shipping, Crating, and Logistics

4.1 Crating

All goods are shipped in custom wooden crates designed to protect the panels during transit.

4.2 Delivery Estimates

Delivery dates are estimates only and are not guaranteed. Delays caused by carriers, customs, weather, or circumstances beyond the Company’s control do not constitute grounds for cancellation or compensation.

4.3 Non-Refundable Logistics

All pricing includes non-recoverable logistics and freight costs. Once production or shipping preparation has commenced, shipping, crating, and logistics costs are non-refundable, regardless of whether they are itemized separately or included within a total project price.

4.4 Inspection Upon Delivery

The Buyer must inspect all shipments immediately upon receipt. Any claims for damage, shortage, or non-delivery must be reported in writing within 48 hours, accompanied by clear photographic evidence.

5. Installation Responsibilities

5.1 Low Voltage Systems

Nu World LED light panels are low-voltage lighting systems.

5.2 Non-Hardwired Installations

Physical placement of panels onto plywood sub-tops or substrates, when used with plug-in power supplies, does not constitute hardwired electrical work and may be performed by a general contractor, stone fabricator, or other qualified tradesperson.

5.3 Licensed Electrical Work

Any installation involving hardwired connections, dimming controls, junction boxes, or integration with building electrical systems must be performed by a licensed electrical professional in accordance with all applicable codes and regulations.

5.4 Installation Liability

Nu World is not responsible for failures, damage, or performance issues arising from improper installation, incorrect wiring, unapproved system modifications, or work performed by unlicensed parties.

6. Power Supplies, Loading, and System Modifications

6.1 Load Headroom

Power supplies must never be loaded to their maximum rated wattage. A minimum 20–30% headroom buffer is required on all circuits to ensure safe operation, longevity, and thermal stability.

6.2 System Changes

Once a system has been commissioned, any changes to power supplies, wiring topology, dimming controls, brightness levels, or additional loads must be reviewed and approved by Nu World.

6.3 Excessive Operation

Operating systems at excessive brightness or thermal levels may reduce component lifespan and may void warranty coverage.

7. Returns, Cancellations, and Custom Orders

All sales are final. Goods are custom made and not returnable except in the case of confirmed manufacturing defects.

Order cancellations require prior written approval from the Company and may be subject to charges for materials, labor, design, tooling, logistics, and a reasonable profit margin.

8. Warranty and Limitation of Liability

8.1 Warranty Period

The Company warrants that its products will be free from manufacturing defects for 24 months from date of delivery, under normal use and proper installation.

8.2 Exclusions

This warranty does not cover damage resulting from improper installation, misuse, overloading, third-party modifications, incompatible power supplies, electrical surges, environmental conditions, or operation outside product specifications.

8.3 Limitation of Remedy

The Company’s liability is limited to repair or replacement of the defective product at its discretion. Labor, removal, reinstallation, and site costs are excluded.

8.4 Limitation of Liability

Under no circumstances shall the Company be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the purchase price of the affected goods.

9. Intellectual Property

All drawings, designs, CAD files, specifications, and technical documentation remain the intellectual property of Nu World Custom Lighting and Design and may not be reproduced or reused without written consent.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada.

11. Acceptance

Acceptance of any quotation, invoice, or payment constitutes full acceptance of these Terms and Conditions of Sale.
